Media Release

This Media Release Agreement ("Agreement") applies to all content you submit, send, transmit, upload, or otherwise provide toDivineSong ("DivineSong," "we," "us," or "our"), including but not limited to videos, photos, audio recordings, written stories, testimonials, reaction videos, voice recordings, text messages, emails, social media posts, comments, feedback, or any other materials in any format whatsoever ("Content").

IMPORTANT: THE ACT OF SUBMITTING, SENDING, TRANSMITTING, OR OTHERWISE PROVIDING ANY CONTENT TO DivineSong BY ANY MEANS WHATSOEVER—INCLUDING BUT NOT LIMITED TO EMAIL, WEBSITE UPLOAD, SOCIAL MEDIA, TEXT MESSAGE, MAIL, IN-PERSON DELIVERY, OR ANY OTHER METHOD—CONSTITUTES YOUR UNCONDITIONAL ACCEPTANCE OF AND AGREEMENT TO ALL TERMS OF THIS AGREEMENT. THIS AGREEMENT APPLIES REGARDLESS OF WHETHER YOU RECEIVE ANY COMPENSATION, PAYMENT, CREDIT, OR OTHER CONSIDERATION FROM DivineSong.

By providing any Content to DivineSong, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement. No signature, click-through, or other express acceptance is required—the mere act of providing Content is sufficient to bind you to these terms.

1. Grant of Rights

By submitting Content to DivineSong, you hereby grant to DivineSong, its parent companies, subsidiaries, affiliates, successors, assigns, licensees, and designees, a perpetual, irrevocable, worldwide, universe-wide, royalty-free, fully paid-up, non-exclusive, transferable, sublicensable (through multiple tiers) license and right to:

  • Use, reproduce, copy, display, exhibit, publish, broadcast, transmit, stream, distribute, and otherwise exploit your Content in any and all media, formats, and platforms now known or hereafter devised
  • Edit, modify, adapt, translate, crop, resize, reformat, compress, enhance, caption, annotate, overlay, combine with other materials, or otherwise alter your Content in any manner whatsoever, without limitation
  • Create derivative works, compilations, collections, remixes, mashups, and new materials incorporating your Content in whole or in part
  • Use your name, image, photograph, likeness, voice, biographical information, statements, story, and any other personal attributes appearing in or associated with your Content
  • Publish, display, and distribute your Content in marketing, advertising, promotional materials, social media, press releases, newsletters, email campaigns, websites, mobile applications, television, radio, streaming services, print publications, and any other medium or channel
  • Sublicense, assign, or transfer any or all of the rights granted herein to third parties, including but not limited to advertising agencies, media companies, distribution partners, and other business partners
  • Register, protect, and enforce intellectual property rights in any works incorporating your Content

These rights apply to both commercial and non-commercial uses, throughout the entire universe, in perpetuity.

These rights are also incorporated into and governed by our Terms of Service, which you agree to by submitting any Content or using our Services.

2. Ownership of Content

You acknowledge and agree that upon submission of your Content toDivineSong:

  • DivineSong shall own all right, title, and interest in and to any works, materials, or productions created by DivineSong that incorporate, are based on, or are derived from your Content
  • You do not retain any ownership interest in any derivative works, compilations, or new materials created by DivineSong using your Content
  • DivineSong is not obligated to use your Content and may, in its sole discretion, choose not to use, publish, or distribute your Content
  • DivineSong is not obligated to return, preserve, or maintain your original Content

3. Editing, Modification, and Adaptation

You expressly authorize DivineSong to edit, modify, adapt, crop, resize, compress, enhance, colorize, add effects to, caption, annotate, subtitle, translate, combine with other content, overlay with music or other audio, add graphics or text, cut, splice, rearrange, or otherwise alter your Content in any manner and for any purpose, without limitation and without your prior approval.

You acknowledge that such modifications may substantially alter the appearance, context, or meaning of your Content, and you waive any right to object to such modifications.

4. Compensation, Royalties, and Consideration

You acknowledge and agree that:

  • DivineSong has no obligation to provide any payment, compensation, royalties, residuals, fees, or other consideration for the submission, use, or exploitation of your Content
  • Any use of your Content by DivineSong shall not entitle you to any compensation whatsoever, whether monetary or otherwise
  • DivineSong is not obligated to provide attribution, credit, or acknowledgment when using your Content
  • Any decision by DivineSong to provide compensation, credit, or other consideration is entirely at DivineSong's sole and absolute discretion and shall not create any obligation or precedent for future use
  • You shall not be entitled to any share of revenue, profits, or proceeds generated from any use of your Content

5. Your Representations and Warranties

By submitting Content, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction) and have the full legal capacity to enter into this Agreement
  • You are the sole creator and owner of the Content, or you have obtained all necessary rights, licenses, consents, and permissions from the rightful owner(s) to submit the Content and grant the rights set forth in this Agreement
  • Every person appearing in your Content has given their express written consent to appear in the Content and to the use of their image, likeness, voice, and personal attributes as contemplated by this Agreement
  • If any minor (person under 18) appears in your Content, you are the parent or legal guardian of such minor or have obtained verifiable written consent from the parent or legal guardian authorizing the minor's appearance and the use of their image
  • Your Content does not and will not infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, right of publicity, right of privacy, moral right, or any other intellectual property right or proprietary right of any third party
  • Your Content does not contain any defamatory, libelous, obscene, pornographic, abusive, threatening, harassing, or otherwise unlawful material
  • Your Content is truthful, accurate, and not misleading to the best of your knowledge
  • Your Content does not violate any applicable law, statute, ordinance, or regulation
  • You have not entered into any agreement that would prevent you from granting the rights contained in this Agreement

6. Release of Claims

You hereby forever release, discharge, and hold harmless DivineSong, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, successors, assigns, licensees, and designees from and against any and all claims, demands, causes of action, suits, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • The use, publication, display, distribution, or exploitation of your Content or any portion thereof
  • Any editing, modification, alteration, or adaptation of your Content
  • Any use of your name, image, likeness, voice, or biographical information
  • Any claims of defamation, invasion of privacy, right of publicity, infliction of emotional distress, or any other personal or property rights
  • Any claims arising from the context, juxtaposition, or manner in which your Content is used
  • Any claims that your Content was used in a manner different from what you intended or expected

This release applies regardless of whether such claims arise from the negligence of DivineSong or any other party.

7. Waiver of Moral Rights

To the fullest extent permitted by applicable law, you hereby irrevocably waive and agree not to assert any "moral rights" or equivalent rights you may have in your Content, including but not limited to:

  • The right of attribution (the right to be identified as the author of your Content)
  • The right of integrity (the right to object to modifications, distortions, or mutilations of your Content)
  • The right to withdraw or recall your Content from circulation
  • Any right to object to any use, alteration, or treatment of your Content

To the extent moral rights cannot be waived under applicable law, you agree not to assert such rights against DivineSong or its licensees.

8. Indemnification

You agree to indemnify, defend, and hold harmless DivineSong, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, successors, assigns, and licensees from and against any and all claims, demands, causes of action, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Any breach of your representations, warranties, or obligations under this Agreement
  • Any claim that your Content infringes or violates the intellectual property rights, privacy rights, publicity rights, or other rights of any third party
  • Any claim by a third party appearing in your Content who alleges they did not consent to appear or to the use of their image, likeness, or voice
  • Any claim arising from false, misleading, or inaccurate statements in your Content

9. Irrevocability

All rights, licenses, consents, and permissions granted in this Agreement are irrevocable and shall survive in perpetuity. Once you submit Content to DivineSong:

  • You cannot withdraw, revoke, or rescind the rights granted herein
  • You cannot request the return, deletion, or destruction of your Content
  • DivineSong is under no obligation to cease using your Content upon your request
  • These rights shall continue even if you delete your account, unsubscribe from our services, or otherwise terminate your relationship with DivineSong

10. Distribution Platforms and Media

You acknowledge and agree that DivineSong may use, publish, and distribute your Content on any platform, service, or medium, including but not limited to:

  • Streaming platforms such as Spotify, Apple Music, Amazon Music, YouTube Music, Tidal, Deezer, Pandora, SoundCloud, and any other music or audio streaming service
  • Video platforms such as YouTube, Vimeo, TikTok, Instagram Reels, Facebook Video, and similar services
  • Social media platforms including Facebook, Instagram, Twitter/X, LinkedIn, Pinterest, Snapchat, and others
  • Television, radio, film, podcasts, and other broadcast media
  • Physical media including CDs, DVDs, vinyl records, and print
  • Live events, conferences, trade shows, and public exhibitions
  • Internal communications, training materials, and corporate presentations
  • Any other medium or platform now existing or developed in the future

11. Territory

The rights granted under this Agreement extend to the entire universe, including all territories on Earth and any extraterrestrial locations, platforms, or services that may exist now or in the future. DivineSong may exercise these rights in any jurisdiction without geographic limitation.

12. No Confidentiality

You acknowledge that any Content you submit to DivineSong is not confidential and that DivineSong has no obligation to maintain the confidentiality of your Content. DivineSong may share, publish, or disclose your Content to any third party without restriction.

13. Third-Party Rights

You acknowledge and agree that DivineSong may sublicense, assign, or transfer any or all of its rights under this Agreement to third parties, and such third parties shall be entitled to enforce the terms of this Agreement as if they were the original party.

14. Survival

All provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to the grant of rights, ownership provisions, release of claims, waiver of moral rights, indemnification, limitation of liability, and governing law provisions.

15. Limitation of Liability

IN NO EVENT SHALL DivineSong BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF YOUR CONTENT, EVEN IF DivineSong HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DivineSong'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.

17. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and DivineSongregarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

19. Amendments

DivineSong reserves the right to modify, amend, or update this Agreement at any time in its sole discretion. Any changes will be effective immediately upon posting. Your continued submission of Content after any such changes constitutes your acceptance of the modified Agreement.

20. No Waiver

No failure or delay by DivineSong in exercising any right under this Agreement shall operate as a waiver of such right. A waiver of any right on one occasion shall not be construed as a waiver of such right on any other occasion.

22. Automatic Acceptance by Submission

You expressly acknowledge and agree that:

  • The act of submitting, sending, transmitting, uploading, mailing, delivering, or otherwise providing any Content to DivineSong by any means constitutes your binding acceptance of all terms of this Agreement
  • No written signature, electronic signature, click-through agreement, checkbox, or other express manifestation of acceptance is required to make this Agreement enforceable against you
  • This Agreement applies to all Content provided to DivineSong, whether solicited or unsolicited, whether in response to a request or voluntarily submitted
  • This Agreement applies regardless of the method of transmission, including but not limited to email, website upload, social media direct message, social media post or comment, text message, postal mail, courier delivery, in-person delivery, file transfer, cloud sharing, or any other means now known or later developed
  • This Agreement applies regardless of whether you receive any compensation, payment, credit, royalties, attribution, acknowledgment, or any other form of consideration from DivineSong
  • This Agreement applies even if you did not intend to agree to these terms or were unaware of their existence at the time of submission—the act of providing Content is deemed acceptance
  • If you do not agree to these terms, you must not submit any Content to DivineSong

23. Reaction Video Gift Card Program

If you submit a reaction video in connection with DivineSong's gift card incentive program (the "Reaction Video Gift Card Program"), the following additional terms apply:

  • Electronic Signature Required: Before receiving any gift card or other compensation, you will be required to complete and electronically sign a final Media Release and Assignment Agreement. No gift card will be issued until this electronic signature is received and verified.
  • Full Assignment of Rights: By signing the final Media Release and Assignment Agreement, you irrevocably assign, transfer, and convey to DivineSong all right, title, and interest in and to your reaction video Content, including all copyright, trademark, and other intellectual property rights therein, throughout the entire universe, in perpetuity, for any and all purposes whatsoever.
  • Original Creator Guarantee: You represent and warrant that you are the sole and original creator of the reaction video Content, that no other person contributed to its creation, and that you have not assigned, licensed, or otherwise encumbered any rights in the Content to any third party.
  • Third-Party Consent: You represent and warrant that every person appearing in your reaction video has expressly consented to: (a) appear in the video; (b) the full and unrestricted use of their image, likeness, voice, and personal attributes by DivineSong; and (c) the irrevocable release and assignment of all claims, rights, and interests they may have in the Content to DivineSong, in perpetuity, throughout the entire universe, for any commercial or non-commercial purpose whatsoever.
  • Universal Release: You and all persons appearing in your reaction video hereby forever release, discharge, and waive any and all claims, demands, causes of action, and rights of any kind or nature whatsoever that you or they may have againstDivineSong arising from or relating to the Content, including but not limited to claims for compensation, royalties, residuals, rights of publicity, rights of privacy, defamation, moral rights, or any other claims, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that now exist or may arise in the future.
  • Commercial Use Authorization: You expressly authorize DivineSong to use your reaction video Content for any and all commercial purposes, including but not limited to advertising, marketing, promotion, merchandising, licensing, syndication, and sale, without any further consent, compensation, or notice to you or any person appearing in the Content.
  • Indemnification: You agree to indemnify, defend, and hold harmless DivineSong from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to any breach of your representations and warranties, including any claim by a person appearing in your reaction video who alleges they did not consent to their appearance or the use of their likeness.
  • Gift Card Conditional: You acknowledge that the gift card is conditioned upon: (a) DivineSong's acceptance and approval of your reaction video in its sole discretion; (b) your completion and electronic signature of the final Media Release and Assignment Agreement; and (c) your compliance with all terms and conditions of this Agreement and the Reaction Video Gift Card Program.

IMPORTANT: BY PARTICIPATING IN THE REACTION VIDEO GIFT CARD PROGRAM, YOU UNDERSTAND AND AGREE THAT DivineSong WILL ACQUIRE FULL AND EXCLUSIVE OWNERSHIP OF YOUR REACTION VIDEO CONTENT, FREE AND CLEAR OF ALL CLAIMS AND ENCUMBRANCES, AND THAT NEITHER YOU NOR ANY PERSON APPEARING IN THE VIDEO WILL HAVE ANY FURTHER RIGHTS, CLAIMS, OR INTERESTS IN THE CONTENT WHATSOEVER, ANYWHERE IN THE UNIVERSE, FOR ALL TIME.

24. Acknowledgment

BY SUBMITTING CONTENT TO DivineSong, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS MEDIA RELEASE AGREEMENT, UNDERSTAND ITS TERMS, AND AGREE TO BE BOUND BY ALL OF ITS PROVISIONS. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT IS A LEGALLY BINDING CONTRACT AND THAT YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE AGREEING TO ITS TERMS.
